These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the thedesignworks.ca website (“Website” or “Service”) and any of its related project intake channels, technical guides, or digital resources (collectively, “Services”). This Agreement is legally binding between you (“User”, “Client”, “you” or “your”) and True North Digital Network Inc., doing business as The Design Works (“The Design Works”, “we”, “us” or “our”).

If you are entering into this Agreement on behalf of a business, corporate framework, or other legal entity, you represent that you have the formal authority to bind such entity to these parameters. By accessing and navigating the Website, you acknowledge that you have read, understood, and agree to be bound by this contract.

1. Age Requirement and Intended Audience

You must be at least 18 years of age to use the Website and Services. By browsing the platform, testing layouts, or engaging with our forms, you warrant and represent that you are at least 18 years of age.

2. Project Intake Boundaries vs. Binding Contracts

The Website serves as an informational agency portfolio and project discovery portal. While we invite users to complete project briefs, submit site audit inquiries, or request consultations via our interactive forms, the submission of an intake form does not constitute a binding offer, acceptance, or the initiation of an official web development contract.

No professional design or development obligations are formed between you and the agency until a separate, comprehensive Master Services Agreement (MSA) and a customized Statement of Work (SOW) are formally executed and signed by both parties outside of this Website.

3. Agency Intellectual Property and Layout Rights

This Agreement does not transfer any agency or third-party intellectual property to you. All rights, titles, and interests in the underlying code, customized layout templates, technical component styling, structural design philosophies, performance metrics, and original copy displayed on the Website remain exclusively with True North Digital Network Inc.

You are strictly prohibited from copying, scraping, replicating, or reverse-engineering our core agency layout architecture, CSS frameworks, or component code for use in external commercial web properties without our explicit written consent.

4. Prohibited Uses of the Platform

In addition to other boundaries established in this Agreement, you are prohibited from using the Website, its intake forms, or its underlying content:

(a) for any unlawful, fraudulent, or unauthorized commercial purpose;

(b) to harvest, crawl, or scrape our text, case studies, or client project references;

(c) to transmit viruses, malicious tracking tokens, or destructive web scripts;

(d) to submit false, misleading, or fraudulent technical data through our project onboarding fields;

(e) to interfere with or circumvent the backend server security controls of our hosting environment.

We reserve the immediate right to block or terminate your access to our digital infrastructure for violating any of these parameters.

5. Third-Party Links and Resource Infrastructure

Our Website may link to external technical resources, tool providers, core developer documentation, or performance testing platforms. We do not evaluate, warrant, or assume any legal liability for the operational status, terms, or privacy practices of those independent third-party platforms. Your navigation to off-site technical links is strictly at your own risk.

6. Disclaimer of Warranty

You agree that your navigation of our digital agency platform is strictly at your own risk. The Service is provided entirely on an “as is” and “as available” basis. We disclaim all warranties of any kind, express or implied. We make no warranty that our website will be uninterrupted, error-free, or that performance optimization values listed in portfolio examples will translate identically to your independent web properties without custom engineering.

7. Limitation of Liability

To the maximum extent permitted by applicable Ontario law, in no event will True North Digital Network Inc., its directors, officers, employees, or contracted development specialists be held liable for any indirect, incidental, special, or consequential damages (including, without limitation, lost data, project delivery delays, server downtime, or lost business revenue) resulting from your reliance on the general informational content of this Website. Our aggregate liability relating directly to website navigation or electronic intake submission is limited strictly to ten Canadian dollars ($10.00 CAD).

8. Severability and Dispute Resolution

If any provision of this Agreement is held to be invalid or unenforceable by an Ontario court of competent jurisdiction, the remaining clauses will continue in full force and effect. The formation, interpretation, and performance of this Agreement shall be governed strictly by the laws of Ontario and the federal laws of Canada applicable therein, and you submit to the exclusive personal jurisdiction of the courts located in Ontario, Canada.

9. Changes and Amendments

We reserve the right to modify this Agreement at any time at our discretion to match shifts in web privacy compliance or modifications to our structural agency stack. When updates are published, we will revise the updated date at the top of this page. Your continued navigation of the site constitutes your consent to those modifications.

10. Acceptance of These Terms

By navigating thedesignworks.ca, utilizing our project discovery forms, or submitting technical metadata to our team, you acknowledge that you have read this agreement and agree to be bound by its parameters.
